By accessing or using the Repvyse platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. Repvyse reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.
Repvyse is a software-as-a-service platform designed for content creators, UGC creators, influencers, and affiliates. The Service provides tools including but not limited to: AI-assisted brand deal management, content organization, rate card and media kit creation, and analytics. The AI-powered features are designed to assist users and do not guarantee specific outcomes. Individual results may vary based on factors including content quality, audience engagement, and market conditions.
To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify Repvyse immediately of any unauthorized use of your account.
Repvyse offers both free and paid subscription plans. Paid plans are billed on a monthly basis at the rates displayed at the time of purchase. Free trial periods, if offered, will automatically convert to a paid subscription at the end of the trial period unless you cancel before the trial expires. You will receive a reminder before any trial-to-paid conversion. All fees are non-refundable except as required by applicable law. You may cancel your subscription at any time through your account settings, and cancellation will take effect at the end of the current billing period.
You retain all ownership rights to content you upload, create, or share through the Service ("User Content"). By using the Service, you grant Repvyse a limited, non-exclusive, worldwide license to host, display, and distribute your User Content solely for the purpose of operating and providing the Service. You represent and warrant that you have all necessary rights to your User Content and that it does not infringe upon the intellectual property rights of any third party.
You agree not to: (a) use the Service for any unlawful purpose; (b) upload content that infringes on intellectual property rights; (c) attempt to gain unauthorized access to the Service or its systems; (d) use the Service to distribute spam or unsolicited communications; (e) impersonate any person or entity; (f) interfere with or disrupt the Service; or (g) use automated means to access the Service without prior written consent.
The Service, including its design, features, code, and branding, is owned by Repvyse and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without prior written permission. The Repvyse name, logo, and all related marks are trademarks of Repvyse.
Repvyse respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA). If you believe that content on our platform infringes your copyright, please submit a written notice to our designated DMCA agent at [email protected]. Your notice must include: (a) identification of the copyrighted work; (b) identification of the infringing material; (c) your contact information; (d) a statement of good faith belief; and (e) a statement under penalty of perjury that the information is accurate. Repeat infringers may have their accounts terminated.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. REPVYSE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. REPVYSE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AI-POWERED FEATURES ARE PROVIDED AS TOOLS TO ASSIST USERS AND DO NOT CONSTITUTE PROFESSIONAL ADVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPVYSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE. IN NO EVENT SHALL REPVYSE'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO REPVYSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved informally within thirty (30) days, either party may initiate binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the English language. Each party shall bear its own costs of arbitration. Class action lawsuits, class-wide arbitrations, and representative actions are not permitted.
Repvyse may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service will immediately cease. You may export your User Content before termination. Sections regarding intellectual property, limitation of liability, and dispute resolution shall survive termination.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
